Civil law jurisdictions recognise custom as “the other source of law”; hence, scholars tend to divide the civil law into the broad categories of “written law” or legislation, and “unwritten law” (ius non-scriptum) or custom. Yet they tend to dismiss custom as being of slight importance compared to legislation (Georgiadis, General Principles of Civil Law, 19; Washofsky, Taking Precedent Seriously, 7). Hegel believed that civil society and the state were polar opposites, within the scheme of his dialectic theory of history. The modern dipole state–civil society was reproduced in the theories of Alexis de Tocqueville and Karl Marx. Civil law jurisdictions treat contracts differently in a number of respects, with a more interventionist role for the state in both the formation and enforcement of contracts. In France, an ordinary contract is said to form simply on the basis of a “meeting of the minds” or a “concurrence of wills”. Their ‘abstraction principle’ means that the personal obligation of contract forms separately from the title of property being conferred. When contracts are invalidated for some reason (e.g. a car buyer is so drunk that he lacks legal capacity to contract) the contractual obligation to pay can be invalidated separately from the proprietary title of the car. Unjust enrichment law, rather than contract law, is then used to restore title to the rightful owner.

McCoubrey and White said that the question “what is law?” has no simple answer. Glanville Williams said that the meaning of the word “law” depends on the context in which that word is used. He said that, for example, “early customary law” and “municipal law” were contexts where the word “law” had two different and irreconcilable meanings. Thurman Arnold said that it is obvious that it is impossible to define the word “law” and that it is also equally obvious that the struggle to define that word should not ever be abandoned.
